Designrock Technology offers the following services (collectively, "Services"):

For client projects: Upon receipt of full and final payment, Designrock Technology transfers ownership of the agreed final deliverables to the client. Until such payment is received, all work-in-progress materials remain the property of Designrock Technology.
- We retain the right to display completed client work in our portfolio unless explicitly agreed otherwise in writing.
- Any third-party assets (stock images, fonts, plugins, or licensed software) used in a project are governed by their respective licence agreements.
- Source files, raw assets, and proprietary frameworks developed in-house remain the property of Designrock Technology unless purchased separately.
To ensure successful delivery of services, clients agree to the following:
- Provide accurate information: All content, credentials, brand assets, and approvals provided to us must be accurate and lawfully owned or licensed by you.
- Timely feedback: Clients agree to review and provide feedback on deliverables within the timeframe specified in the project agreement. Delays in feedback may affect the project timeline.
- Designated contact: Clients should provide a single point of contact with authority to approve decisions to avoid conflicting instructions.
- Legal compliance: You are responsible for ensuring that your business, website content, and marketing activities comply with all applicable laws.
- Account security: You are responsible for maintaining the confidentiality of any login credentials we provide during the project.
All fees, payment schedules, and billing terms are set out in the project proposal or service agreement. The following general terms apply:
- Advance payment: Most projects require an advance payment (typically 50%) before work begins. The balance is payable upon project completion or as per the agreed milestone schedule.
- Retainer services: Monthly retainer services (e.g., SEO, email marketing) are billed in advance at the start of each billing cycle.
- Currency: All invoices are raised in Indian Rupees (INR) unless otherwise agreed in writing.
- GST: Applicable Goods and Services Tax (GST) will be charged as per prevailing Indian tax laws.
- Late payment: Invoices unpaid beyond the due date may attract a late fee or result in suspension of services.
- Scope changes: Any work beyond the agreed project scope will be quoted and billed separately as additional work.

We are committed to delivering projects within the timelines agreed in the project proposal. However, timelines are subject to:
- Timely receipt of content, assets, and approvals from the client.
- Scope remaining consistent with the original brief.
- Availability of third-party services (hosting providers, API services, etc.).
Designrock Technology shall not be held liable for delays caused by circumstances beyond our reasonable control, including but not limited to internet outages, server failures, natural disasters, or delays caused by the client.
Revision rounds included in a project are specified in the service agreement. Additional revisions beyond the agreed limit will be charged at our standard hourly rate.
Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the business relationship. This includes but is not limited to business strategies, financial data, customer lists, technical specifications, and login credentials.
This obligation of confidentiality does not apply to information that:
- Is or becomes publicly available through no fault of the receiving party.
- Was already known to the receiving party before disclosure.
- Is required to be disclosed by law or a court order.
Confidentiality obligations survive the termination of any service agreement for a period of two (2) years.
To the fullest extent permitted by applicable law, Designrock Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from your use of our services or website.
Our total liability to you for any claim arising out of or in connection with our services shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.
We make no warranty that our website will be uninterrupted, error-free, or free of viruses or other harmful components. The information on this website is provided "as is" without any representations or warranties, express or implied.
Our services may involve the use of third-party tools, platforms, or APIs, including but not limited to Zoho, Google, Meta, Mailchimp, WordPress, and hosting providers. We are not responsible for the performance, availability, pricing changes, or policy changes of any third-party services.
- Any accounts created on your behalf with third-party platforms are subject to those platforms' own terms of service.
- We recommend clients maintain their own login credentials for all third-party platforms used in their projects.
- Links to external websites on our site are provided for convenience only; we do not endorse or take responsibility for their content.
Either party may terminate a service engagement by providing written notice as specified in the project agreement. In the event of termination:
- The client shall pay for all work completed up to the date of termination.
- Non-refundable advance payments for work already commenced will not be returned.
- Designrock Technology will provide the client with all completed deliverables upon receipt of outstanding payment.
- We reserve the right to immediately terminate services if a client breaches these Terms, engages in abusive or unlawful conduct, or fails to make payment after due notice.
These Terms and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of India.
The courts of Lucknow, Uttar Pradesh, India shall have exclusive jurisdiction to settle any dispute or claim arising from these Terms or your use of our services.
We encourage clients to contact us directly to resolve any disputes amicably before initiating legal proceedings.
We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. When we make significant changes, we will update the "Last Updated" date at the top of this page.
We encourage you to review these Terms periodically. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
